3、ation(“ReceivingParty”)orwhich,underthecircumstancessurroundingdisclosureoughttobetreatedasconfidentialbytheReceivingParty."ConfidentialInformation"includes,withoutlimitation,informationintangibleorintangibleformrelatingtoand/orincludingallbusiness,technical,andfinancialinform
4、ation(including,withoutlimitation,specificcustomerrequirements,customerandpotentialcustomerlists,marketingandpromotionalinformation,tradesecret,copyright,andtrademarkinformation,andinformationconcerningaparty’semployees,agents,divisions,practices,policies,operations,andpricing
5、information),aswellasinformationreceivedfromothersthatDisclosingPartyisobligatedtotreatasconfidential.ExceptasotherwiseindicatedinthisAgreement,theterm“DisclosingParty”alsoincludesallAffiliatesoftheDisclosingPartyand,exceptasotherwiseindicated,theterm“ReceivingParty”alsoinclud
6、esallAffiliatesoftheReceivingParty.An“Affiliate”meansanyperson,partnership,jointventure,corporationorotherformofenterprise,domesticorforeign,includingbutnotlimitedtosubsidiaries,thatdirectlyorindirectly,control,arecontrolledby,orareundercommoncontrolwithaparty.(b)ConfidentialI
7、nformationshallnotincludeanyinformation,howeverdesignated,that:(i) isorsubsequentlybecomespubliclyavailablewithoutReceivingParty'sbreachofanyobligationowedDisclosingParty;(ii) becameknowntoReceivingPartypriortoDisclosingParty’sdisclosureofsuchinformationtoReceivingPartypursuan
