1、COOPERAIONAGREEMENTThisagreementismadeontheof2010in、byandbetween:,registered,Chinarepresentedby;l.Mr.,DesignationhereinaftercalledasMBECandCompanyNameRepresentedbyhereinaftercalledasSub・Contractorhereinafterjointlycalledasthe"Parties"PREAMBLECLAUSEInreferencetothe(hereinaftercal
2、led“TheTnsk”)of(hereinaftercalled:„OrderingParty”),ThePartiesagreedtosignanInitialAgreement,whichwould,incaseofwinningtheabovementionedtender,constituteabasisforsigningaSubcontractoragreement(hereinaftercalledSubcontractoragreement).TheSubcontractoragreementwillbesignedbasedonth
3、eoffer(calledhereinafterOffer),madebySubcontractortoMBEC,takingincludingscopeofworksandthepricesandwithfullconsiderationoftheconditionsoftheContractbetweenMBECandOrderingPartyaswellasotherdocuments,whichconstituteobligationsofcontractorstoOrderingpartyFurthertotheprovisionsabove
4、thePartiesdeclaretheprinciplesofcooperationthatfollow:§11.MBECasGeneralContractorwillmaketoOrderingPartyavalidandproperComprehensiveOffer,andincaseofitsofferischosenbyOrderingParty,itwillsignwithSubcontractoranSubcontractorAgreementwiththescopeofworkasdefinedinpoint2below,withSu
5、bcontractorcarryingbothprivilegesandobligationscomingoutofthisstatus..2.ThePartiesagreedthefollowingbranchesmakeupthescopeoftheOffer:a).a).b).c)1.BasedonthetenderingdocumentationTheConsortiumtakesafirmobligationtopreparetheOfferuntilof2010withinthescopedefinedinpoint2ofthisparag
6、raph.TheOffersinceitspresentationwillbeattachedtothisAgreementasanAppendix.MBECwillmakeaGeneralBidtoOrderingParty,andwillincludeOfferfromSubcontractorintoitsGeneralBid.INcaseofMBECprovidingSubcontractorwithfinancing,thepartieswillseparatelyagreeonthecostoffinancinginSubcontracti
7、ngAgreement.2.ThetermsandconditionsspecifiedintheOffer,particularlytheunitpricesanddeliverydatesarebindingTheSubcontractorwithin150daysfromthedateofsubmittingtheOffertotheMBEC.3.TheconsortiumdeclaresthatthetermsandconditionspresentedintheOfferaresubjecttochanges,howevereachchang
8、emustbeapprovedinwrittenbyTheConsortiumandMBEC.
