2、edifferentpartiestothetransaction,AWAREoftheneedtomakeinternationalfinancialleasingmoreavailable,CONSCIOUSofthefactthattherulesoflawgoverningthetraditionalcontractofhireneedtobeadaptedtothedistinctivetriangularrelationshipcreatedbythefinancialleasingt

3、ransaction,RECOGNISINGthereforethedesirabilityofformulatingcertainuniformrulesrelatingprimarilytothecivilandcommerciallawaspectsofinternationalfinancialleasing,HAVEAGREEDasfollows:CHAPTERI-SPHEREOFAPPLICATIONANDGENERALPROVISIONSArticle11.-ThisConventi

4、ongovernsafinancialleasingtransactionasdescribedinparagraph2inwhichoneparty(thelessor),(a)onthespecificationsofanotherparty(thelessee),entersintoanagreement(thesupplyagreement)withathirdparty(thesupplier)underwhichthelessoracquiresplant,capitalgoodsor

5、otherequipment(theequipment)ontermsapprovedbythelesseesofarastheyconcernitsinterests,and(b)entersintoanagreement(theleasingagreement)withthelessee,grantingtothelesseetherighttousetheequipmentinreturnforthepaymentofrentals.2.-Thefinancialleasingtransac

6、tionreferredtointhepreviousparagraphisatransactionwhichincludesthefollowingcharacteristics:(a)thelesseespecifiestheequipmentandselectsthesupplierwithoutrelyingprimarilyontheskillandjudgmentofthelessor;(b)theequipmentisacquiredbythelessorinconnectionwi

7、thaleasingagreementwhich,totheknowledgeofthesupplier,eitherhasbeenmadeoristobemadebetweenthelessorandthelessee;and(c)therentalspayableundertheleasingagreementarecalculatedsoastotakeintoaccountinparticulartheamortisationofthewholeorasubstantialpartofth

8、ecostoftheequipment.3.-ThisConventionapplieswhetherornotthelesseehasorsubsequentlyacquirestheoptiontobuytheequipmentortoholditonleaseforafurtherperiod,andwhetherornotforanominalpriceorrental.4.-ThisConventionappliestofinancialleasingtransactio
