1、中文摘要1999年7月30日，国家经贸委和中国人民银行联合下发的《关于实施债权转股权若干问题的意见》，正式拉开了“债转股”实施的序幕。但是在“债转股”实施过程中，金融资产管理公司能否以债权出资、如何实现股权的变现和顺利退出都存在不少法律上的困惑和制度上的缺陷。为此，笔者通过对前述问题的剖析，认为：首先，金融资产管理公司应通过开展深刻的组织创新、行业创新，建立一整套激励一约束机制，形成有效的内部治理结构，加速向投资银行方向发展：其次，国有企业要加速改革，苦练内功，自强向上，在“债转股”进程中，尽快完成企业重组，并建立现代企业制度；虽后，不断完善“债转股”的
