1、中文摘要股东派生诉讼制度是司法介入公司治理的重要方式，它直接维护了公司的合法权益，间接保护了股东的利益。随着公司管理模式向“董事会中心主义”的转化，公司管理者居于核心地位，极易做出侵害公司利益的行为，再加上他人对公司的侵害行为层出不穷，强化股东尤其是中小股东的地位势在必行。股东派生诉讼制度正是通过赋予股东监督权及相应诉权的方式达到强化股东地位的目的。本文共分为四章，第一章对股东派生诉讼制度进行概述，以司法介入公司自治的必要性为背景，阐述派生诉讼的产生与发展以及我国对派生诉讼的具体规定，强调派生诉讼具有的特殊功能；第二章介绍股东派生诉讼的主体适用范围，包括适格原告与适格被告两方面；第三
