1、毕业论文（20__届）民营企业公司治理结构的思考摘要近年来，在我国民营企业组织形式中，有限责任公司的比重逐年增加并占据主导地位，于此同时，民营股份公司的数量也在不断增加，公司制己经成为中国民营企业的现实选择。世界各国的企业发展历史以及中国的实践都证明：实现委托代理制，走向现代企业制度，是稍具规模的民营企业发展的必由之路。企业中的产权关系、委托代理关系的产生，导致了治理结构问题的出现。我国的《公司法》对公司治理结构作了较为全面的规定，但是由于受各种因素的影响，《公司法》对治理结构的设计还有不尽完善的地方，加上民

2、营企业的自身局限性，民营企业的治理结构还存在一些重大的问题。这些问题会对企业的活动产生影响，并限制企业的发展壮大。因此，完善企业治理结构成为当前众多民营企业的重要任务之一。本文通过案例分析对中国民营企业治理结构现状进行研究，将民营企业的治理结构问题大致总结为三个方面：产权问题、代理问题、董事会构成问题。在理论研究的基础上，参考国际公司治理经验以及国内众多学者专家的研究与探讨结果，提出对中国民营企业内部治理的一些改进意见，希望本文能够对我国民营企业治理结构调整有所帮助。关键词：民营企业；公司治理结构；委托代理；
