2、rea-ChinaTradeContractTermsStudyCommitteeandtheChinaForeignTradeContractTermsStudyCommitteewererespectivelyselectedtoberesponsibleforthetaskofpreparingModelTermsofContractsforSaleofGoods(hereinafterreferredtoasthe;ModelTerms;).TheModelTerms,intendedtobeusedbyKoreanandC

3、hinesetradingfirmsandcorporationsinformulatingtheirownstandardcontracts,werecompletedinDecember,1996.TheModelTermsarebasedonthecurrenteffectivelaws,theinternationaltreatiesandtheinternationaltradeusagesaccededbythetwocountries,aswellasIncoterms,1990andUniformCustomsand

4、PracticeforDocumentaryCredits,1993Revision.InordertoproperlyusetheModelTerms,instructionsaregivenasfollows:1.TheModelTermsareintendedtobeusedforthedraftingofcontractsforthesaleofgoodsbetweenthetwocountries'tradingfirmsandcorporations.2.TheModelTermsareintendedtopr

5、ovideasampleofcontracttermsandconditions.Theyarenotintendedtoconstituteaspecifiedcontract.3.SomeoftheModelTermsprovideoneormorealternativestoaccommodatedifferentkindsoftransactionsandvariouscategoriesofgoods.4.Whenconcludingspecifiedcontracts,eachtradingfirmandcorporat

6、ioninbothnationsmaymodifytheprovisionsoftheModelTermsandincorporatenewprovisionsintotheircontractsaccordingtothenatureofthetransactionorgoods.5.TheModelTermsprovideformaritimetransportation,however,ifothermeansoftransportationaretobeemployed,therelevantprovisionsintheM

7、odelTermsshouldbemodifiedandnewprovisionsshouldbeincorporatedintothecontracts.TheKorea-ChinaTradeContractTermsStudyCommitteeandtheChinaForeignTradeContractTermsStudyCommitteehopethatKoreanandChinesetradingfirmsandcorporationsfullycomprehendthepurportandmeaningoftheMode
