2、storsandattractforeignadvancedtechnologyandmanagementexpertise，foreigninvestorsarepermittedtoestablishcompanieswithaninvestmentnatureinChinainaccordancewiththerelevantlawsandregulationsofChinaonforeigninvestmentandtheseProvisions.　　Article2　ForthepurposesoftheseProvisions，theterm“companywithanin

3、vestmentnature”shallrefertoacompanyestablishedinChinabyaforeigninvestoreitherintheformofawhollyforeign-ownedcompanyorajointventureinconjunctionwithaChineseinvestorengagedindirectinvestments.Thecompanyshalltaketheformofalimitedliabilitycompany.　　Article3　Theapplicationfortheestablishmentofacompan

4、ywithaninvestmentnatureshallsatisfythefollowingconditions：　　1.（a）theforeigninvestorshallhavegoodcreditstanding，financialcapabilitynecessaryfortheestablishmentofacompanywithaninvestmentnature，atotalassetvalueofnolessthanUS$400millionintheyearpriortotheapplication，andtheinvestorshallalsohaveestabl

5、ishedforeign-investedenterprise（s）inChinawithacapitalcontributionofmorethanUS$10millionoftheregisteredcapitalactuallypaidin；or　　（b）theforeigninvestorshallhavegoodcreditstanding，thefinancialcapabilityrequiredfortheestablishmentofacompanywithaninvestmentnature；havealreadyestablished10ormoreforeign

6、-investedenterprises，withacapitalcontributionofmorethanUS$30millionoftheregisteredcapitalactuallypaidin；　　2.whereacompanywithaninvestmentnatureisestablishedintheformofajointventure，theChineseinvestorshallhavegoodcreditstandingandthefinancialcapabilitynecessaryfortheestablishmentofacompanywithani
