2、lows:1.RECOGNITIONOFCOMPANY'SRIGHTS;NONDISCLOSUREAtalltimesduringthetermofmyemploymentandthereafter,Iwillholdinstrictestconfidenceandwillnotdisclose,use,lectureuponorpublishanyoftheCompany'sProprietaryInformation(definedbelow),exceptassuchdisclosure,useorpublicationmayberequiredinconnectionwith
3、myworkfortheCompany,orunlessanexecutiveofficeroftheCompanyexpresslyauthorizessuchinwriting.Theterm"ProprietaryInformation"shallmeantradesecrets,confidentialknowledge,dataoranyotherinformationoftheCompany.Bywayofillustrationbutnotlimitation,"ProprietaryInformation"includes(a)inventions,maskworks
4、,tradesecrets,ideas,processes,formulas,sourceandobjectcodes,data,programs,otherworksofauthorship,know-how,improvements,discoveries,developments,designsandtechniques(hereinaftercollectivelyreferredtoas"Inventions");and(b)informationregardingplansforresearch,development,newproducts,regulatorymatt
5、ers,marketingandselling,businessplans,budgetsandunpublishedfinancialstatements,licenses,pricesandcosts,suppliersandcustomers;andinformationregardingtheskillsandcompensationofotheremployeesoftheCompany.2.THIRDPARTYINFORMATIONIunderstand,inaddition,thattheCompanyhasreceived,andinthefuturewillrece
6、ive,fromthirdpartiesconfidentialorproprietaryinformation("ThirdPartyInformation")subjecttoadutyontheCompany'sparttomaintaintheconfidentialityofsuchinformationandtouseitonlyforcertainlimitedpurposes.Duringthetermofmyemploymentandthereafter,IwillholdThirdPartyInformationinthestrictestconfidencean
