2、totheBoardofDirectorsarespecified.2ThetasksoftheBoardofDirectors2.1GeneraltasksTheBoardofDirectorstasksandresponsibilitiesshallbeaccordingtolocalcorporateandotherlaws,theby-lawsofthecompany,guidelinesfromtheowner’smeetingsandthepresentpolicy.TheBoardhasthefollowingmainta

3、sks:a)Beinginchargeofmanagingthecompanyb)Overseethattheoperationsareinaccordancewiththecompaniesby-lawsandguidelinesgivenbytheowner’smeeting.c)Provideasatisfactoryorganizationofthecompany,andoverseethatregistrationanddocumentationofaccountsandassetsareundersatisfactoryco

4、ntrol.d)Hire,andifrequired,terminateorfirethePresident,plusdecidethePresident’ssalary,othercompensationsandemploymentconditions.e)OverseethePresident’smanagementoftheoperations.TheBoardshallingeneraltreatallitemswhichareofgreatimportancetothecompanyorofanunusualnature,un

5、lesstheBoardinspecialcaseshasgiventhePresidentthepowertomakethedecisionorifadelayforawaitingthedecisionoftheBoardwillcausesubstantialharmtothecompany’sactivities.TheBoardconsidersanddecidesthecompany’sbudget,three-yearplan,theannualaccountsandtheannualreportincorresponde
