2、twareEnterprisesofMexicoontheonehand(hereinaftercalled"UNITED");andInnovativeTechnologies,Inc.,acorporationorganizedandexistingunderthelawsoftheStateofVirginia,UnitedStatesofAmerica,withitsprincipalofficeatCharlottesville,Virginia,U.S.A.,andInnovativeTechnologies,Ltd.(Europe)Ltd.,acor
3、porationorganizedandexistingunderthelawsoftheUnitedKingdom("IT(Europe)")ontheotherhand(hereinaftercollectivelycalled"IT").WITNESSETHWHEREAS,UNITEDandIT(hereinaftercollectivelycalledthe"parties")haveenteredintotwomemorandaofagreementdatedJune18,1994,fortheprocurementandtransferofcomput
4、ertechnology;andWHEREAS,UNITEDandITdesiretocreatethebasisforacloseandlong-termrelationshipand,therefore,wishtoestablishanEquityJointVentureintheformofaLimitedLiabilityJointOwnershipCompanytobeknowasMexico-UnitedStatesComputerSystems(hereinaftercalledthe"JointVenture"orthe"Company")inw
5、hichbothpartieswillhaveownershipinterestsandrights;andWHEREAS,thepurposeoftheJointVentureistoownandoperateafacilityinMexicofortheassemblyandmanufactureofcertainelectronicproductsashereinafterdefined;andWHEREAS,itistheintentionofthepartiesthatfinancingfortheiragreeduponequitycontributi
6、onstotheJointVenturewillbeguaranteedforeachpartybytheForeignTradeBankofMexico;andWHEREAS,UNITEDispreparedtoprovidelandandconstructabuildingorbuildingsappropriateforsuchafacility,aswellastoprovideotherassistanceandservicesnecessarytoaccomplishthepurposeoftheJointVenture;andWHEREAS,inor
7、dertoaccomplishtheforegoingITispreparedtoequipandassistintheconstruction,installationanderectionofsuchafacilityandtoassistinthetrainingoftechnicians,machineoperators,supervisorsandothermanagementpersonnelfortheoperationandmanagementofsuchafacility;andWHEREAS,ITispreparedtofurnishtothe
