1、ContractforExportingMiningEquipment ContractNo.____ ThisContractismadeandenteredintoonthe15th,Oct.inSulaiminiyhbyandbetweenMassIraqCementCo,Ltd(astheBuyer)andChinaJiangsuGrandEconomicDevolpmentCo.,Ltd.acompanyincorporatedunderthelawsofChina(hereinafterreferredtoastheseller
2、). Whereas,theBuyerdesirestoengagetheSellertoprovidetheMiningEquipment,allrelateddesign,technicaldocument,technicalserviceandtechnicaltrainingandtoobtainfromtheSelleralicenseofknow-howandothertechnicalinformationinrelationwiththeEquipment’sdesign,erection,commissioning,oper
3、ationandmaintenance.Nowitisherebymutuallyagreedasfollows: Article1Definitions 1.1“Acceptance”meanstheBuyeracceptedtheEquipmentinaccordancewithArticlexx. 1.2“Commissioning”meanstheoperationoftheEquipmentinaccordancewithArticle9.4forthepurposeofcarryingoutPerformanceTest. 1.3
4、“Contract”meansthisContractsignedbyandbetweentheBuyerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract. 1.4“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle16.1. 1.5“Equipm
5、ent”meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliedbytheSelleraslistedinAppendix3. 1.6“Erection”meanstheinstallationoftheEquipmentincludingplacingandconnectingpartstotheirpositionsaccordingtothedesigndrawing. 1.7“JobSite”meansthesitewheretheEquipments
6、hallbelocatedand/orerected,namelyMassIraqCementPlant. 1.8“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached100percentofthetotaltheEquipmentprice. 1.9“PerformanceTest”meansthetestsforexaminingwhethertheEquipmentisabletomeetguaranteefigu
7、res. 1.10“TechnicalDocument”meansthetechnicalindices,specifications,drawings,manualandinstructionsrelatedtothedesign,erection,test-run,commissioning,acceptance,operationandmaintenanceoftheEquipmenttobeprovidedbytheSeller. 1.11“TechnicalService”meansthetechnicalinstruction,a
