1、1、保密义务条款TheReceivingpartyagreesthattheConfidentialInformationshallbekeptstrictlyconfidentialtothesameextentasifitwereconfidentialinformationpertainingtotheReceivingPartyorwithareasonabledegreeofcare,whicheverisgreater,andshallnot,withouttheDisclosingParty’spriorwrittenconsent,besold
2、,traded,publishedorotherwisedisclosedtoanyoneinanymannerwhatsoever,exceptasprovidedinParagraphs3and4below,norshallanysuchConfidentialInformationbeused,inanymannerwhatsoever,inwholeorinpart,directlyorindirectly,foranypurposeotherthanthePurpose.TheReceivingPartyagreesnottouseinanywayd
3、etrimentaltotheDisclosingPartytheConfidentialInformationandnottousetheConfidentialInformation,ortakeanyactionbasedupontheConfidentialInformation,tointerfereinanywaywithanycontractualorotherbusinessoftheDisclosingParty.2、保密义务豁免事项TheReceivingPartymaydisclosetheConfidentialInformationw
4、ithouttheDisclosingParty’spriorwrittenconsentonlytotheextentsuchinformation:(a)IsalreadyknowntotheReceivingPartyonanon-confidentialbasisasofthedateofdisclosurehereunder;(b)IsalreadyinpossessionofthepublicorbecomesavailabletothepublicotherthanthroughtheactoromissionoftheReceivingPart
5、y,itsAffiliatedCompaniesortheirrespectiveRepresentatives;(c)Isrequiredtobedisclosed,inwholeorinpart,underapplicablelaworbyagovernmentalorder,decree,regulationorrule,orincompliancewithjudicialproceduresorrelevantstockexchangeregulations;or(d)Isacquiredindependentlyonanon-confidential
6、basisfromathirdpartythatisnotunderanyobligationofconfidentialityandwhichrepresentsthatithastherighttodisseminatesuchinformationatthetimeitisacquiredbytheReceivingParty.Notwithstandingtheforegoing,inthecircumstancessetforthinsubsection3(c)above,theReceivingPartyshall(totheextentpermi
7、ttedbylaw)givepromptwrittennoticetotheDisclosingPartypriortomakingsuchdisclosureandprovidedetailsoftheproposedform,natureandpurposeofsuchdisclosuresothattheDisclosingPartymayseekaprotectiveorderorotherappropriateremedyorwaivecompliancewiththisAgreement.Intheeventthatsuchprotectiveor
