3、thejointestablishment,ontheprinciplesofequalityandmutualbenefit,byforeignenterprisesandothereconomicorganizationsorindividuals(hereinafterreferredtoastheforeignparty)andChineseenterprisesorothereconomicorganizations(hereinafterreferredtoastheChineseparty)ofChinese-foreigncontractualjoi

4、ntventures(hereinafterreferredtoascontractualjointventures)withintheterritoryofthePeople'sRepublicofChina.Article2Inestablishingacontractualjointventure,theChineseandforeignpartiesshall,inaccordancewiththeprovisionsofthisLaw,prescribeintheircontractualjointventurecontractsuchmattersast

5、heinvestmentorconditionsforcooperation,thedistributionofearningsorproducts,thesharingofrisksandlosses,themannersofoperationandmanagementandtheownershipofthepropertyatthetimeoftheterminationofthecontractualjointventure.Acontractualjointventurewhichmeetstheconditionsforbeingconsideredale

6、galpersonunderChineselawshallacquirethestatusofaChineselegalpersoninaccordancewithlaw.Article3TheStateshall,accordingtolaw,protectthelawfulrightsandinterestsofthecontractualjointventuresandoftheChineseandforeignparties.AcontractualjointventureshallabidebyChineselawsandregulationsandmay

7、notinjurethepublicinterestsofChina.TherelevantStateauthorityshallexercisesupervisionoverthecontractualjointventuresaccordingtolaw.Article4TheStateshallencouragetheestablishmentofproductivecontractualjointventuresthatareexport-orientedortechnologicallyadvanced.Article5Forthepurposeofa
