1、内容摘要内容摘要为了解决公司滥用权利带来的社会、环境问题，美国学者于20世纪20～30年代提出了公司社会责任理论。尽管公司社会责任的内涵至今尚无统一界定，但对其内容的认识基本趋于一致：即公司在追求股东利益最大化的同时，对非股东利害关系人及社会要承担相应的责任。经过几十年的争论和实践，公司社会责任理论已经得到越来越多人的认同，公司社会责任的实施情况也逐渐成为西方发达资本主义国家评价公司业绩的一个重要标准。从西方国家推行公司社会责任的情况看，实施公司社会责任利大于弊，西方国家以及国际社会对公司社会责任问题的探讨并未止步。本文站在倡导公司社会责任的立场上，对西方国家公司社

2、会责任的基本理论问题及其在实践中的一些主要做法进行介绍和评述，并结合我国国情对我国公司社会责任问题进行思考，认为在我国推行公司社会责任有其重要性和社会意义，同时，在分析我国推行公司社会责任面临的问题的基础上借鉴西方发达国家在公司社会责任方面的好的做法，从观念、制度以及相关措施的层面，提出建立和完善我国公司社会责任法律制度的建议。本文的结论是：我国推行公司社会责任会带来公司（股东）利益与社会利益“双赢”的结果。关键词：公司社会责任；理论基础；存在问题；制度完善ABSTRACTABSTRACTTosolvethesocialandenvironmentalproblem
