1、天津商业大学硕士学位论文我国上市公司信息披露问题研究姓名：刘铭源申请学位级别：硕士专业：企业管理指导教师：王德禄20090501摘要中文摘要信息披露是规范上市公司行为、保护广大投资者利益和提高证券市场配置效率的最有效手段。真实、全面、及时、充分的信息披露是上市公司的法定义务，也是投资者决策的重要依据。我国证监会历来十分重视信息披露制度的建设和监管工作，把强化上市公司信息披露、提高上市公司透明度作为保护投资者利益、促进市场健康发展的最有力武器，把信息披露监管视作上市公司监管的中心环节。我国证券市场经过二十年来的发展，信息披露经历了一个由

2、简单披露到由一套多层次、系统化的规则或制度的过程，使上市公司信息披露质量有了很大程度的提高。但是我国相当部分上市公司在信息披露中仍存在不少违规行为，而且屡禁不止，从而严重损害了我国证券市场的基本功能和广大投资者的合法权益。在建立经济、社会全面协调可持续发展的进程中，资本市场的和谐发展是经济发展的重要组成部分。研究我国上市公司信息披露违规行为的规律、特点以及影响因素，对于建立相应的信息披露违规预防与控制体系，具有重要的理论和实践意义。本文从我国上市公司信息披露制度着手，对我国上市公司信息披露违规现象进行了描述与分析，总结违规披露的主要特

3、点和发生规律；然后引用企业舞弊三角理论，选取2007年1月到2008年12月因信息披露违规而受到公开谴责的60家上市公司作为研究样本，以Lo百sfie回归计量模型实证研究上市公司信息披露违规的原因，最后依据实证结论提出相关的治理措施。关键词：上市公司；信息披露；公司治理；Lo西stie回归模型AbstractInformationdisclosureiSthemosteffectivemeanstonormthebehavioroflistedcompaniesandthemostvalidmethodofprotectingthei
