1、学号:10308253东北农业大学学士学位论文企业并购财务风险研究ToenterprisemergersandacquisitionsFinancialriskresearch摘要随着全球经济的飞速发展，并购己经成为企业扩大规模、增强实力、提高效率的重要手段。企业通过并购可以扩大规模经济和盈利水平，实现业务和服务的扩张，进而重组全球范围内产业分工体系，获得产业垄断地位及领导地位。可以说企业并购正成为企业外部成长的一条重要途径，也是产业结构调整和企业制度创新的动力。然而，从企业并购的特征和国内外企业并购的实践来看，并购又是一项高风险的资本经营活动，据美国的一项调查显示：并购企业

2、的失败率高达53.4%-74%o因此，加强企业并购的财务风险认识和防范管理具有重要的现实意义。本文建立在国内外研究成果的基础上，针対国内外学者对并购财务风险的不同研究结果以及目前企业并购普遍存在的问题，分析企业并购中财务风险的原因，探讨企业并购的财务风险识別和表现形式，从而探讨有针对性的防范措施。首先：介绍了企业并购的概念、动因，并对财务风险进行明确的届定，总结并购财务风险的特征；然后，分别详细探讨了企业并购的财务风险相应的防范措施：即尽职调查、聘请有经验的中介机构、签订相关的法律协议，并根据财务风险的具体表现进行有针对性的控制。最终达到减少因财务风险而引起的并购失败，使并购
