3、nsaction"),bothDisclosingPartyandReceivingPartyrecognizethatthereisaneedtodisclosetooneanothercertaininformationinrespectofitselfand/oritsaffiliates•WHEREAS,allsuchinformat!on,deliveredbyoronbehalfofonepartyand/oritsaffiliates(the"DisclosingParty")totheotherparty(the"ReceivingParty")and/orit
4、sRepresentatives(asdefinedbelow),whetherfurnishedbeforeorafterthedateofthisAgreementandregardlessofthemannerinwhichitisfurnished,togetherwithallanalyses,compilations,studiesorotherdocumentsorrecordspreparedbytheReceivingPartyand/oritsRepresentativestotheextentsuchanalyses,compilations,studie
5、s,documentsorrecordscontain,otherwisereflect,oraregeneratedfromsuchinformation,isreferredtohereinas,zEvaluationMaterial".NOW,THEREFORE,inconsiderationoftheopportunitytoconsidersuchEvaluationMaterial,bothpartiesherebyagreeasfollows:1.NON-DISCLOSUREOFEVALUATIONMATERIALTheEvaluationMaterialwill
6、beusedbytheReceivingPartysolelyforthepurposeofevaluatingtheTransaction.SuchEvaluationMaterialwillbekeptstrictlyconfidentialbytheReceivingParty,exceptthattheEvaluationMaterialoranyportionthereofmaybedisclosedtoaffiliates,directors,officers,employees,advisors,attorneys,agents,controllingperson
