1、BY-LAWSOF[NOTFORPROFITCORPORATION]TheseBy-Lawsof[YOURCOMPANYNAME](the“Agreement”)aremadeandeffective[DATE].1.ORGANIZATIONA.Thenameoftheorganizationshallbe[NAME].B.Theorganizationmayatitspleasurebyavoteofthemembershipbodychangeitsname.2.PURPOSESThefollowingarethepurposesforwhichthisorgani

2、zationhasbeenorganized:[DESCRIBE].3.MEMBERSHIPMembershipinthisorganizationshallbeopentoallwho[DESCRIBE].4.MEETINGSA.Theannualmembershipmeetingofthisorganizationshallbeheldonthe[DAY]of[MONTH]eachandeveryyearexceptifsuchdaybealegalholiday,thenandinthatevent,theBoardofDirectorsshallfixtheda

3、ybutitshallnotbemorethantwoweeksfromthedatefixedbytheseBy-Laws.B.TheSecretaryshallcausetobemailedtoeverymemberingoodstandingathisaddressasitappearsinthemembershiprollbookinthisorganizationanoticetellingthetimeandplaceofsuchannualmeeting.C.Regularmeetingsofthisorganizationshallbeheld[LOCA

4、TION].D.Thepresenceofnotlessthan[%]ofthemembersshallconstituteaquorumandshallbenecessarytoconductthebusinessofthisorganization,butalesserpercentagemayadjournthemeetingforaperiodofnotmorethan[NUMBER]weeksfromthedatescheduledbytheseBy-Lawsandthesecretaryshallcauseanoticeofthisscheduledmeet

5、ingtobesenttoallthosememberswhowerenotpresentatthemeetingoriginallycalled.Aquorumashereinbeforesetforthshallberequiredatanyadjournedmeeting.E.Specialmeetingsofthisorganizationmaybecalledbythepresidentwhenhedeemsitforthebestinterestoftheorganization.Noticesofsuchmeetingshallbemailedtoallm

6、embersattheiraddressesastheyappearinthemembershiprollbookatleast[NUMBER]daysbeforethescheduleddatesetforsuchspecialmeeting.Suchnoticeshallstatethereasonsthatsuchmeetinghasbeencalled,thebusinesstobetransactedatsuchmeetingandbywhomitwascalled.Attherequestof[%]ofthemembersoftheBoardofDirect
