3、roducts,servicesandtotalsolutionsinalllinksofsolarenergyanditsrelevantfieldsinAsia.THEREFORE,thePartiesagreetojointlyworktogetherintheconstructionofallrelatedprojectsinthescopeofsolarenergy(hereinafterreferredtoasthe“Projects”).1.5ThisMOUmaynotbeassigned,anditwi
4、llinuretothebenefitofthePartiesandtheirrespectivesuccessors.2.PurposeThepurposeofthisMOUistoprovideaframeworkofcooperationandfacilitatecollaborationamongtheParties,onaexclusivebasisintheProjects.PartyBwillappointPartyAasitsexclusivepartnerforallsolarprojectsunde
5、rtakeninRajamangalaUniversityofTechnologyIsan,SakornNakornProvince.3.DutiesandResponsibilities3.1ThePartiesagreetocooperateinthefollowingareasofactivity:A.B.C.3.2PartyAshallperformthefollowing:A.B.C.D.E.3.3PartyBshallperformthefollowing:A.B.C.D.3.4ThePartiesagre
6、ethatthispresentcooperationisbuiltonmutualtrustamongthePartiesandthatnoneofthePartiesshalldoanyactsthatunderminetheinterestsoftheotherPartyatalltimes.HonestandfrankdisclosuresofinformationoftheProjectsarerequiredthroughoutthetermofcooperationwhichisformedofandin
7、relationtothisMOUamongtheParties.A.ThePartiesshall,onaregularbasis,keepeachotherinformedofandconsultduringtheprogressandshareinformationofandrelatingtotheProjectstrulyandaccurately.B.ConsultationandexchangeofinformationanddocumentsunderthisArticleIIIshallbewitho
8、utprejudicetoarrangementsaccordingtowhichcertaininformationanddocumentsmayberequiredtobemaintainedconfidentialandbeingofrestrictedcharacter.C.EachofthePartiesshallata
