2、essat(insertaddress)hereindulyrepresentedbyits(insertpositionofsignatory),(insertnameofsignatory),hereinafterreferredtoastheClient;-and–(statenameofcorporation),acorporationorganizedandexistingunderthelawsofthePhilippines,withofficeaddressat(insertaddress)hereindulyrepr
3、esentedbyits(insertpositionofsignatory),(insertnameofsignatory),“ServiceProvider”WITNESSETH:WHEREAS,theServiceProviderisadulylicensed,registeredandlegitimateindependentjobcontractor,andbusiness,marketingandhumanresourcemanagement(HRM)consultantauthorizedrenderpersonnelo
4、utsourcing,temporarystaffing,executiveselection,domesticplacement,staffappraisal,training,technicalservices,janitorialandmanpowerservices,andotheralliedservices;WHEREAS,theClienthasaneedforanddesirestoengagetheServiceProvider;WHEREAS,theServiceProviderhasrepresentedthat
5、ithasthetechnicalexpertise,experienceandresourcestoprovidetheaforementionedservicesandhasagreedtoacceptClient’sengagement;NOWTHEREFORE,thepartiesagreeasfollows:1.SCOPEOFSERVICESTheServiceProvidershallprovideservicesinEventsManagement,MIS,CustomerandGeneralSupportService
6、s(hereinaftercollectivelyreferredtoasOUTSOURCEDSERVICES)fortheClient.AdetaileddescriptionofsuchOutsourcedServicesisattachedas‘AnnexA”.Client,mayreasonablyincrease,reduceormodifythescopeoftheOutsourcedServices,withpriorwrittenconsentoftheServiceProvidersubjecttoacorrespo
7、ndingfeeadjustment.2.TERMOFTHECONTRACT2.1Thetermofthiscontractshallbeforaperiodof(insertlengthofcontract/service)commencingon(insertstartdate)until(insertenddate),unlesssoonerterminatedasprovidedhereunder.Thepartiesmayextendthetermofthecontractatleastthirty(30)daysprior
8、tothedateofexpirationoftheperiodoranyextensionthereof.2.2EitherpartymaypreterminatethisAgreementforviolationof
